Software AG confirms receipt of another non-binding expression of interest from Rocket Software, a US competitor controlled by Bain Capital 

Software AG (the "Company"; Frankfurt TecDAX®: ISIN DE000A2GS401) confirms that Rocket Software, a US competitor controlled by Bain Capital, has submitted a revised legally non-binding expression of interest to acquire up to 100 percent of the Company's shares at an indicative offer price of €34.00.

This offer does not represent a superior offer and therefore Software AG’s Management Board and the independent Takeover Committee of the Supervisory Board are not in a position to engage. The offer announced by Silver Lake on 21 April 2023 and as increased on 4 May 2023 is in the best interest of all of the Company’s stakeholders; it has a significant premium for shareholders, a high degree of deal certainty and will accelerate the execution of the Company’s strategy as an independent German headquartered company.
